Terms of Service.

The agreement between you and Axidus when you use our website, your account, or any of our products. Please read it carefully before signing up.

These Terms of Service (“Terms”) govern your access to and use of axidus.io and any product or service offered by Axidus LLC(“Axidus”, “we”, “us”, “our”), including Excalibar and any future Axidus products (together, the “Services”). By creating an account, signing in, or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an Axidus account on your own. If you are 13 or older but under 18, you may use the Services only with a parent or legal guardian's consent and supervision. The Services are not offered to anyone under 13 (or under 16 in the EEA / UK).

By using the Services, you represent that you meet these requirements and that the information you provide is accurate.

2. Your account

You are responsible for:

  • Keeping your account credentials confidential
  • All activity that happens under your account
  • Promptly notifying us at security@axidus.io if you suspect unauthorized access

We may suspend or terminate accounts that violate these Terms, threaten the security of the Services, or otherwise create risk for us or other users (see Section 9).

3. Plans, subscriptions, and billing

Merchant of record

Subscriptions and one-time purchases are processed by Polar (Polar Software Inc., dba Polar.sh) acting as our Merchant of Record. Polar is the legal seller of record for your transaction, handles global tax (VAT, US sales tax, etc.), invoicing, and chargebacks, and processes your payment details directly. Your purchase is also subject to Polar's Terms of Service and Privacy Policy.

Subscriptions

Some Axidus products are sold as recurring subscriptions (monthly or annual). When you subscribe:

  • You authorize Polar to charge your payment method the amount shown at checkout, plus applicable taxes, on the cadence you selected
  • Subscriptions automatically renew at the end of each billing period at the then-current rate, unless cancelled before renewal
  • You can cancel anytime from your account billing page; cancellation takes effect at the end of the current paid period, and you keep access until then

Pricing and changes

Prices are listed on the pricing page, in your local currency where supported by Polar. We may change prices for new billing periods with at least 30 days' notice (sent to your account email). If you do not agree to a price change, you can cancel before it takes effect; continued use after the change means you accept the new price.

Refunds

All sales are final and non-refundable, except where required by applicable law (such as the EU's 14-day right of withdrawal, which Polar honors as Merchant of Record where applicable). Cancelling a subscription stops future renewals but does not refund the current paid period. To request a statutory refund, email legal@axidus.io and we will coordinate with Polar.

Free trials and promotions

If we offer a free trial or promotional pricing, the specific terms (duration, eligibility, conversion to paid) will be presented at sign-up. Unless those terms say otherwise, the trial converts to a paid subscription automatically when it ends.

Failed payments

If a renewal payment fails, Polar may retry the charge. If it continues to fail, your access to paid features will be suspended until payment succeeds or the subscription is cancelled.

4. License to use the Services

Subject to these Terms, Axidus grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal or internal business use during your active subscription (or, for free features, while these Terms are in effect).

You agree not to:

  • Copy, modify, distribute, sell, lease, or rent any part of the Services
  • Reverse-engineer, decompile, or disassemble any Axidus software, except to the extent applicable law expressly permits
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use the Services to build a competing product
  • Share, resell, or transfer your account or license keys; one account is for one individual

5. Acceptable use

You agree not to use the Services to:

  • Violate any law or third-party right (including IP, privacy, and publicity rights)
  • Process content you do not have the right to process
  • Upload or transmit viruses, malware, or other harmful code
  • Interfere with, disrupt, or place undue load on the Services or any infrastructure
  • Probe, scan, or test the security of the Services without our prior written authorization
  • Scrape, crawl, or use automated means to access the Services beyond what is permitted by our robots.txt and rate limits
  • Impersonate any person or misrepresent your affiliation
  • Harass, threaten, or abuse other users or our team

We may investigate and take any action we consider appropriate (including suspension, termination, or referral to law enforcement) if we believe you have violated this section.

6. Your content

Axidus products may process files and content that you provide (“Your Content”). For desktop products like Excalibar, processing happens locally on your device by default; we do not see or store Your Content unless you explicitly opt in to a cloud feature.

You retain all rights to Your Content. You grant Axidus a limited, worldwide, royalty-free license to host, process, and display Your Content solely to provide the Services to you. You are solely responsible for Your Content and represent that you have the rights necessary to upload and process it.

7. Intellectual property

The Services, including all software, design, branding, copy, and logos, are owned by Axidus LLC or our licensors and are protected by copyright, trademark, and other intellectual-property laws. Except for the limited license granted in Section 4, these Terms do not grant you any rights in the Services.

“Axidus”, the Axidus logo, “Excalibar”, and other Axidus marks are trademarks of Axidus LLC. You may not use them without our prior written consent.

We welcome feedback. If you submit ideas, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation or compensation.

8. Third-party services

The Services rely on third-party providers (including Polar, Supabase, Resend, Vercel, and Google) and may link to or interoperate with third-party sites and services. Your use of those is governed by their own terms and privacy policies; we are not responsible for their practices, content, or availability. See our Privacy Policy for the current list of sub-processors.

9. Suspension and termination

You may stop using the Services at any time and delete your account from the account settings.

We may suspend or terminate your access, with or without notice, if:

  • You materially breach these Terms
  • We are required to do so by law or court order
  • Your use creates a security or legal risk for us or other users
  • We retire a product (with reasonable advance notice and a refund of any prepaid, unused time where reasonable)

On termination, your license to use the Services ends immediately. Sections that by their nature should survive (including Sections 4, 7, 10, 11, 12, 13, and 15) will survive termination.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECT WILL BE CORRECTED.

You are responsible for backing up Your Content. Some jurisdictions do not allow exclusion of certain warranties; in those jurisdictions, the exclusions above apply only to the maximum extent permitted by law.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • AXIDUS, ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID AXIDUS (THROUGH POLAR) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

These limits apply regardless of the form of action and even if a remedy fails of its essential purpose. Some jurisdictions do not allow these limits; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Axidus LLC and its officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of these Terms or any law, (b) Your Content, or (c) your violation of any third-party right.

13. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Axidus agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New Jersey, and you and we consent to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If you are a consumer in the EEA, UK, or another jurisdiction whose mandatory consumer-protection laws override the choice of law above, those laws apply to you.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, for material changes, give you reasonable notice (typically by email or in-product notice) before they take effect. Continued use of the Services after the effective date of an update means you accept the updated Terms. If you do not accept, your only remedy is to stop using the Services and cancel your subscription.

15. Miscellaneous

  • Entire agreement. These Terms, together with our Privacy Policy and any plan-specific terms presented at checkout, are the entire agreement between you and Axidus regarding the Services.
  • Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
  • No agency. These Terms do not create any agency, partnership, joint venture, or employment relationship.
  • Notices. We may give notices by email to the address on your account or by posting in the Services. You must give us notice at legal@axidus.io.
